1. Scope of Application These general terms and conditions shall apply for all language service orders between JURATRANS and their customers. The general terms and conditions are recognized by the Customer by placing the order. They apply for the entire business relationship, hence also for future orders. 2. Language Service Performance All language services (translations, corrections, interpreting, etc.) are performed according to the principles of proper professional practice to the best of our knowledge and belief. 3. Placing an order JURATRANS makes the Customer a non-binding offer for the language services. An order shall only be deemed as placed, when it has been confirmed in writing by the client. We shall not be liable for delays or performance defects caused by incorrect or incomplete transmission of the original text or ambiguous or false or illegible formulation in the original text. 4. Prices a) The price for a language service will be calculated in Euro. b) The postage costs will be borne by the Customer unless otherwise agreed. c) If an order is cancelled, the costs arising before the cancellation shall be paid and the remuneration for parts performed or the time for the services performed before the cancellation are to be paid. 5. Payment Form and Period The payment is to be made within the period stated in the offer by bank transfer to the account shown on the invoice. Banking fees shall be borne by the Customer. 6. Delay in Payment In case of delay in payment by the debtor default interests to the amount of 5% per week will be charged. 7. Customer Obligations The Customer has to make all information available for the language services in good time without being asked (e. g. glossaries, abbreviations, etc.) and answer the questions that may arise during the performance. If the meaning of a word with several possible meanings can only be understood in context or from a drawing, the translator cannot be blamed for incorrect translation, unless the corresponding context or drawing is supplied. Errors resulting from neglecting to observe this obligation are not imputable to us. If the Customer introduces changes to the original text during the performance of the language service that make an adaptation necessary the additional expense shall be charged. 8. Delivery Dates Delivery dates are stated to the best of our knowledge and belief. A delivery is deemed as having been made in good time as soon as the translation has been sent to the customer evidently (transmission protocol). If a delivery date cannot be met due force majeur or for reasons for which we are not responsible (e. g. sudden illness), we are entitled to either withdraw from the contract or demand an adequate additional time from the Customer. For such cases further rights are excluded - in particular claims for damages. 9. Error Correction The right to correct errors is explicitly reserved. The Customer has a claim for correction of any possible errors in the text. The claim for correction of errors must be made by the Customer including exact detail of the error. Errors must be claimed within a period of 3 days after the performance of the language service at the latest. Requests for stylistic modifications, adaptation to specific terminology (in particular terminology specific to a certain sector or company), etc. shall not be considered as errors, unless the Customer provides appropriate reference material upon placing the order or other agreements are made. 10. Liability There shall only be liability in cases of gross negligence and intent. Unless legal regulations obligatorily stipulate otherwise, all damage claims due to intent or gross negligence shall be limited to the net invoice amount. Liability for lost profits shall be excluded. 11. Disturbance, Force Majeur, Network and Server Problems, Viruses For damage caused by disturbances of the operations, in particular by force majeur, e.g. natural events and traffic disturbances, network and server failures, any other power line and transmission disturbances and other hindrances for which we are not responsible there shall be no liability. We shall also not be liable for damage caused by viruses. Our EDP (networks, programs, files, etc.) are regularly checked for viruses. In case of delivery of files via e-mail or any other remote transmission the Customer is responsible for the final check of files and texts delivered. Any damage claims related hereto cannot be recognized. 12. Damage Compensation If the Customer does not specifically state the purpose when placing the order, above all when the text is to be published or used for advertising purposes, he cannot claim compensation for damage that arises because the text proves to be unsuitable for the intended purpose or because the publication or advertising has to be repeated due to an inadequate adaptation or leads to defamation or image loss for the company. If the Customer does not specifically state that the text is intended for printing, if he does not send us a proof for correction before printing and prints it without our release, he alone shall bear the consequences of any error. 13. Limitations The statute of limitations for any claims and rights from errors is one year after delivery. 14. Performance by Third Parties Third parties may generally be commissioned to perform the order if this is deemed necessary. We shall only be liable for careful selection. Contact between the Customer and a third party selected by us is only allowed with our consent. In principle the business relationship only exists between the customer and JURATRANS. 15. Confidentiality All information revealed to us will be treated confidentially. Collaboration with third parties shall not be deemed a violation of this confidentiality obligation. 16. Reservation of Title and Copyrights The translation remains property of the translator until full payment. Until then the Customer has no right to use it. The translator retains his copyright. 17. Validity of the Terms and Conditions The validity of any of these terms and conditions shall not be affected by any particular condition herein being null and void. 18. Place of jurisdiction and applicable law Place of jurisdiction for any claims and legal disputes resulting from the contractual relationship shall be Stuttgart (Germany). German Law shall apply.
